Terms of Service

Effective August 9, 2026

These Terms of Service (“Terms”) are a legally binding agreement between you and 合同会社MBKY (G.K. MBKY) (“we,” “us,” or “our”), a Japanese godo kaisha, governing your access to and use of https://xbill.co and related services we operate (collectively, the “Service”). The Service includes product brands and features such as Escape Corp, Dory, surveys, newsletter and audience signups, articles, coaching contact forms, short links, and account features.

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old to use the Service. By using the Service you represent that you meet this requirement and have the legal capacity to agree to these Terms.

2. Accounts

Creating an account is optional for some features and required for others (for example article comments or Dory comments). You agree to provide accurate information, keep credentials and inbox access secure, and notify us of unauthorized use. You are responsible for activity under your account.

You may delete your account from your profile. Account deletion removes account data and account-owned content as described in our Privacy Policy. It does not automatically cancel Escape Corp bookings associated with your email; use the booking cancel link or contact us.

3. Newsletter and audiences

You may subscribe to newsletters or join audiences/waitlists by providing an email address and any requested signup information. By submitting a dedicated signup form you consent to receive related communications for that list. You can unsubscribe using links in those emails or our unsubscribe flows. Transactional messages needed to provide a service you requested (for example booking confirmations) are separate from marketing opt-in.

4. Escape Corp bookings

Escape Corp is a product brand of G.K. MBKY offering bookable conversation sessions and related features.

5. Dory, surveys, and user content

Dory lets participants submit questions, upvote, and (when signed in) comment, subject to event access rules set by organizers.

Surveys collect responses you voluntarily submit, including optional contact fields when enabled.

Articles may allow signed-in comments.

You retain ownership of content you submit, but you grant G.K. MBKY a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, moderate, and otherwise use that content as needed to operate and improve the Service and the relevant event or publication.

You must not submit content that is unlawful, harassing, defamatory, infringing, deceptive, malware-related, or that invades others’ privacy. We may hide, edit, or remove content and restrict access at our discretion, including to enforce event rules or these Terms.

Anonymous ownership cookies and bot checks exist to reduce abuse; circumventing rate limits, vote systems, or Turnstile checks is prohibited.

6. Acceptable use

You agree not to: (a) disrupt or overload the Service; (b) attempt unauthorized access; (c) reverse engineer the Service except as permitted by law; (d) scrape or harvest data in a way that harms the Service or users; (e) spam or send unsolicited bulk messages through our systems; (f) impersonate others; or (g) use the Service for unlawful purposes.

7. Intellectual property

The Service, including software, design, text, graphics, logos, and product brands (including Escape Corp and xbill.co branding), are owned by G.K. MBKY or its licensors. Except for the limited license to use the Service as provided, no rights are granted. You may not use our marks without prior written permission.

8. Third-party services

The Service relies on third-party providers such as Resend (email), MongoDB (database), Google (OAuth and Calendar), Zoom (meetings), Cloudflare (Turnstile and storage), and Vercel (hosting). Your use of those providers’ own products (for example a Zoom client or Google account) may be subject to their terms and privacy policies.

9. Coaching and informational content

Coaching pages and contact forms are for inquiries. Articles, newsletters, and session materials are for informational purposes and do not constitute professional, legal, medical, or financial advice unless we expressly agree otherwise in a separate written engagement.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT EMAILS OR CALENDAR/ZOOM INTEGRATIONS WILL ALWAYS DELIVER SUCCESSFULLY.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, G.K. MBKY AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) TEN THOUSAND JAPANESE YEN (JPY 10,000). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless G.K. MBKY from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your User Content, your misuse of the Service, or your violation of these Terms or applicable law.

13. Suspension and termination

You may stop using the Service at any time and may delete your account as described above. We may suspend or terminate access if you violate these Terms, if required by law, or if we discontinue the Service. Provisions that by their nature should survive (including IP, disclaimers, liability limits, indemnity, and governing law) will survive termination.

14. Force majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, labor disputes, internet or cloud-provider outages, or government actions.

15. Dispute resolution and governing law

Before filing a formal claim, please contact support@mbky.co and attempt to resolve the dispute in good faith.

These Terms are governed by the laws of Japan, without regard to conflict-of-law rules. Exclusive jurisdiction for disputes arising out of or relating to these Terms or the Service shall lie in the Tokyo District Court (or any successor court), unless mandatory consumer protections in your country of residence require otherwise.

16. Changes

We may update these Terms by posting a revised version on this page and updating the effective date. Material changes may be highlighted by additional notice where appropriate. Continued use after changes take effect constitutes acceptance of the revised Terms.

17. Miscellaneous

If any provision is unenforceable, the remaining provisions remain in effect. These Terms are the entire agreement between you and G.K. MBKY regarding the Service and supersede prior agreements on the same subject. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale of assets.
